Terms of Service
Effective October 15, 2026
These terms govern your use of nxtacquisitions.us and set out general terms for advisory services provided by NXT Acquisitions Corp ("NXT," "we," "us"), 196 Minorca Ave, Coral Gables, FL 33134. Each client's signed engagement letter controls the specific scope, fees, and terms of an engagement; if it conflicts with these terms, the engagement letter governs.
Our services
We provide M&A advisory services, including sell-side representation, buy-side search, business valuation opinions for transaction planning, due diligence coordination, deal structuring advice, and exit planning. No engagement exists until both parties sign an engagement letter.
What we don't do
We are not a law firm, accounting firm, registered broker-dealer, investment adviser, or lender. We don't provide legal, tax, accounting, or investment advice, and we don't guarantee that a transaction will close or achieve a particular value. Our valuations are opinions for planning and negotiation, not certified appraisals. Where a transaction requires a licensed professional or intermediary, we coordinate with appropriately licensed parties.
Fees
- Transaction engagements generally involve an engagement fee and a success fee payable at closing, as defined in the engagement letter.
- Valuation and planning engagements are billed as a fixed fee agreed in advance.
- Third-party costs (for example, data room software or third-party reports) are incurred only with your prior approval.
- Invoices are due within 30 days unless the engagement letter says otherwise.
Exclusivity and tail
Sell-side and buy-side engagements are typically exclusive for a stated term, and may include a tail period during which a success fee applies to transactions with parties introduced during the engagement. These terms are spelled out in the engagement letter and explained before signing.
Client responsibilities
- Provide accurate, complete information and promptly disclose material changes.
- Retain your own attorney and CPA for legal and tax matters.
- Make final decisions on whether to accept any offer or proceed with any transaction.
Confidentiality
We keep client information confidential and share it only as authorized and under non-disclosure agreements, as described in our Privacy Policy.
Termination
Either party may end an engagement as provided in the engagement letter, typically with 30 days' written notice. Fees earned and approved costs incurred before termination remain payable; see our Refund Policy for unearned amounts.
Concerns and dispute resolution
Contact support@nxtacquisitions.us or (305) 447-8213. We'll acknowledge within 1 business day and provide a written response within 10 business days. If a dispute isn't resolved, either party may request non-binding mediation in Miami-Dade County with a mutually agreed mediator, with the mediator's fees shared equally, before starting litigation or arbitration. Nothing here limits your right to contact a consumer protection agency.
Limitation of liability
To the extent permitted by law, our total liability arising from an engagement is limited to the fees paid to us under that engagement, and we are not liable for indirect or consequential losses, including lost profits or lost transaction value. This does not limit liability for fraud or willful misconduct.
Website use
Website content, including the sale readiness assessment, is general information, not advice. You may view and print content for personal use. Don't misuse the website or its forms.
Governing law
These terms are governed by the laws of the State of Florida. Venue for any dispute is Miami-Dade County, Florida.
Changes
We may update these terms. Changes don't affect signed engagement letters.
